1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and DocTick ("DocTick," "we," "us," or "our"), regarding your access to and use of the website at https://doctick.com and all related services, tools, and integrations (collectively, the "Service").

By registering for an account, accessing the platform, or using the Service, you signify that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of the Service

DocTick provides an automated document collection portal that connects directly to your Google Drive account. The Service enables professionals to create structured document request checklists, share secure magic upload links with their clients, track fulfillment progress in real-time, and stream uploaded files directly into designated Google Drive folders.

3. Account Registration & Authentication

To use DocTick, you must authenticate using your Google account via OAuth 2.0. By using the Service, you agree to:

• Provide accurate, current, and complete account information.
• Maintain the security of your Google account credentials.
• Notify us immediately at contact@doctick.com if you discover or suspect any security breach or unauthorized access to your DocTick account.

4. Google Drive Integration & Data Ownership

• Your Ownership: You retain complete, unencumbered ownership of all files, folders, client documents, and intellectual property stored in your Google Drive. DocTick claims no ownership rights over any client uploads.
• Permissions Granted: By connecting your Google Drive, you authorize DocTick to create folders on your behalf and upload files submitted by your clients via your custom portal links, strictly adhering to the https://www.googleapis.com/auth/drive.file scope.
• Independent Third Party: DocTick is an independent software application and is not affiliated with, sponsored by, or endorsed by Google LLC. Google Drive is a trademark of Google LLC.

5. Acceptable Use Policy

You agree not to misuse the Service or assist anyone else in doing so. Specifically, you may not:

• Use the Service to transmit malware, viruses, worms, or malicious code.
• Use the Service to collect, store, or distribute materials that violate intellectual property rights or applicable criminal laws.
• Attempt to probe, scan, or test the vulnerability of our system or network, or breach security or authentication measures.
• Interfere with or disrupt any user, host, or network, including through denial-of-service (DoS) attacks or automated scraping.

6. Subscriptions and Payments

DocTick offers both free tiers and paid subscription plans (e.g. Pro, Firm). Billing is managed securely via Stripe. Paid subscriptions automatically renew on a monthly or annual billing cycle unless cancelled prior to the renewal date. You may cancel your subscription at any time through your Account Settings or the Stripe Customer Portal.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCTICK DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL DOCTICK, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITY) ARISING OUT OF YOUR USE OF THE SERVICE.

8. Termination

We reserve the right to suspend or terminate your access to the Service at our discretion, without notice, for conduct that violates these Terms or is harmful to other users, DocTick, or third parties. You may terminate your account at any time by contacting us.
